Why should a typical Licensor consider placing source code in Escrow?
Placing source code in Escrow will help market the software and a Licensors' services better. The Licensee will gain confidence in the business and will feel safe. Yes, to protect us in case of a future Contingency. The only certainity in our lives is the fact that there is uncertainity. Hence, we prepare ourselves and our personal assets for such glorious uncertainties.
In most cases, even the business houses we are employed in,take care to see to it that all precautions are taken to prepare for some unpleasant suprises. Many of the business houses today license software for which they pay astronomical amounts, but the sad part is that neither they nor their attorneys advise them on how they can protect their busines interest in the software licensed if the software product company goes under.
The injustice here is the software company that licensed the software goes under but the licensee has to bear substantial losses for the software product company's business incompetance because without the source code of the software licensed to you, the maintainance, enhancement or development of the software is impossible.
